These Terms of Service (“Terms”) govern your access to and use of the website https://10-4solutions.com and any related services provided by 10-4 Solutions (the “Services”). By accessing the Site or engaging our Services, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and have legal authority to bind your business to these Terms.
2. The Services
10-4 Solutions provides freight dispatching, rate negotiation, DOT/FMCSA compliance support, and back-office logistics consulting to motor carriers operating under their own authority. We are not a freight broker, a motor carrier, or a freight forwarder.
3. Dispatch agreement
Use of our paid Services requires a signed Dispatch Service Agreement that specifies fees, scope, term, and termination. In the event of conflict between these Terms and your Dispatch Service Agreement, the Dispatch Service Agreement controls.
4. Fees and payment
- Fees are set out in your Dispatch Service Agreement or quote and are billed weekly or per load.
- Past-due invoices accrue interest at the lesser of 1.5% per month or the maximum lawful rate.
- You are responsible for all taxes, tolls, fuel, insurance, and operating costs of your equipment.
5. Carrier responsibilities
- Maintain active DOT and MC authority, valid insurance, and a satisfactory FMCSA safety rating.
- Honor pickup and delivery commitments accepted on your behalf.
- Provide accurate, timely status updates, BOLs, and PODs.
- Comply with all federal, state, and local transportation regulations.
6. Acceptable use of the Site
You agree not to:
- Use the Site for unlawful purposes or to violate any applicable law.
- Scrape, copy, or republish Site content without written permission.
- Attempt to gain unauthorized access to any portion of the Site or its underlying systems.
7. Intellectual property
All content on the Site, including text, graphics, logos, and the “10-4 Solutions” name and mark, is owned by 10-4 Solutions or its licensors and protected by U.S. and international intellectual-property laws.
8. Disclaimers
The Site and Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, 10-4 Solutions and its owners, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, or data. Our aggregate liability for any claim arising out of these Terms will not exceed the fees you paid us in the three months preceding the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless 10-4 Solutions from any claim, loss, or expense (including reasonable attorneys’ fees) arising out of your use of the Services, your breach of these Terms, or your violation of any law or third-party right.
11. Governing law and venue
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in Fayette County, Kentucky.
12. Changes
We may update these Terms at any time. Continued use of the Site after changes constitutes acceptance of the revised Terms.
